Since its inception, Grynhoff Woźny Maliński has been advising on broadly understood securities law, financial instruments law and capital markets law.

Our lawyers actively participate in transactions involving the issuance of securities (shares, subscription warrants and bonds, including convertible bonds), placing them on the regulated market and trading in these securities.

We are particularly experienced in issues of securities to management board members and key employees (incentive programmes). We were among the first who suggested using subscription warrants in these types of programmes as an effective instrument that makes the granting of new shares dependent on the achievement of planned financial results.

Our firm was involved in the first programme involving a public company buying back its own shares that was implemented in accordance with Community law. The main advantage of that programme was its transparency - a feature highly valued by investors on financial markets.

Our firm assists in issuing financial instruments other than securities and trading them on regulated markets, as well as issuing and trading in short-term debt securities offered by banks operating on the Polish market (debt certificates, investment promissory notes, etc).

Our firm was involved in listing a number of firms on the Warsaw Stock Exchange, including AMS SA, E. Romer Polskie Przedsiębiorstwo Wydawnictw Kartograficznych SA, Wólczanka SA, Fabryka Śrub in Łańcut ŚRUBEX SA, Trasy Tychy SA, EMAX SA and Amica Wronki SA. In addition, our lawyers participated in preparing issue prospectuses for public share offerings by PKO Bank Polski SA and Polskie Górnictwo Naftowe i Gazownictwo SA.

Currently we provide ongoing legal advice to several public companies: Netia, BRE Bank, Zelmer, PPWK, Wólczanka, Vistula and Zachodni NFI. Our assistance includes information policy consultations regarding current reports, notifications of major share transactions, notifications on share trading by management board or supervisory board members, etc.
